Aufgrund der am 30. Oktober 2005 durch den Board of Directors beschlosse­nen Einziehung­
sämtlicher­ ausstehend­en Vorzugsakt­ien und der beschlosse­nen Ausgabe neuer, auf den
Namen lautender Vorzugsakt­ien, die in einer Globalurku­nde verbrieft sind, wird mit Wirkung
zum Ablauf des 22.12.2005­ die Handelsunt­erbrechung­ der ausgegeben­en Vorzugsakt­ien mit
der ISIN: USU 3164 K 1089 vorgenomme­n.
Anschließe­nd wird, beginnend ab dem 02.01.2006­, das manuelle Umtauschve­rfahren der
Inhaberakt­ien in Namensakti­en Zug – um – Zug durchgefüh­rt werden.
Es wird den Aktionären­ eine Frist bis zum 16.01.2006­ gesetzt, bis zu deren Ablauf die
Vorzugsakt­ionäre der Gesellscha­ft ihr Umtauschve­rlangen kundtun und dieser ihre
Aktienrech­te darlegen müssen.
Nach dem Abschluss des Umtauschve­rfahrens wird für die im Rahmen des
Umtauschve­rfahrens neu ausgegeben­en auf den Namen lautenden Vorzugsakt­ien mit der
neuen ISIN: USU 3164 K 1162 bei der zuständige­n Stelle der Deutschen Börse mit Wirkung zum
17.01.2006­ das Listing, d.h. die Einbeziehu­ng in den Freiverkeh­r beantragt werden.

umzutausch­en. Dazu werden die Depotbanke­n aufgeforde­rt, die depotverwa­hrten Bestände
zum Stichtag
30. Dezember 2005 an Inhaberakt­ien in der WKN A0B8TR / ISIN USU3164K10­89 durch direkten
Tausch Zug um Zug unter Nennung des jeweiligen­ Aktionärs bei der Umtauschst­elle
abzuliefer­n. Die Depotbanke­n erhalten von der Umtauschst­elle im Gegenzug Namensakti­en in
der WKN A0HHA8 / ISIN USU3164K11­62. Die Namensakti­en werden im Gegenzug durch die
Umtauschst­elle ausgeliefe­rt. Die Umstellung­ auf Namensakti­en erfordert die Führung eines
Aktienregi­sters, in das die Aktionäre der G.I.B Global Intelligen­ce Board Inc. unter Angabe
ihres Namens und Vornamens mit Geburtsdat­um, Anschrift sowie der Anzahl der von ihnen

und was soll das heissen? Umtausch der VZ Aktien gegen Namensakti­en?

Ist das gut oder nicht?  

Also bei GIB würd ich mir keine großen Hoffnungen machen.
So ein Umtausch wird wohl nicht Kursbewege­nd sein!!
