Why Apple could buy Local Corp Apple Looks to Bring Together Local Search and Commerce
JUNE 9, 2015 BY STEVEN JACOBS

Apple showed off updates to its three operating systems Monday, announcing the next iterations to both OSX and iOS as well as a new version of the operating system for Apple Watch. The updates include vast changes to core functionality as well as large updates to a handful of Apple-developed applications such as Maps, Apple Pay and Passbook.

Craig Federighi, senior vice president of software engineering at Apple, said iOS 9, the newest version of its mobile software, will be released this fall. The move comes as Apple looks to extends its lead beyond Google’s Android operating system, introduce a new device in Watch and create software to enter a host of new markets from payments to local search.

The announcements Monday also mark an important moment in the development of initiatives such as Apple Pay and Maps that many believe will play an important role in shaping the local industry. The company announced changes that reflect a much deeper push by the company to use these tools to enter competitive markets such as local search and payments, and uses its position to bring together search, discovery and transaction into a seamless local commerce experience.

Oracle v. Google Android-Java copyright case goes back to San Fran: Supreme Court denies Google petition

The copyrightability of code relating to Application Programming Interfaces (APIs) may elicit more heat than light from a small but vocal group of people. The Supreme Court of the United States, however, has not concluded that there is anything quite so special about the subject that Google's petition for writ of certiorari (request for Supreme Court review) in Oracle's Android-Java copyright case should be granted. At its Thursday conference, the court denied the petition, as just reported by Reuters court reporter Dan Levine on Twitter. And as he accurately noted, this is a "huge victory" for Oracle.

The order list is now available online. On page 11 you can find this entry:

14-410 GOOGLE, INC. V. ORACLE AMERICA, INC.

The petition for a writ of certiorari is denied. Justice Alito took no part in the consideration or decision of this petition.

This means Google failed to persuade at least four justices that the Federal Circuit decision needed a review.

In January, the Supreme Court had asked the U.S. government to express its views, and it responded last month, finding Google's petition flawed and meritless.

Auch das wäre ein Möglichkeit Local Corp could sell all assets without nQuery. The result would be a company without debts and a cash for investing - and this company must not pay taxes for a very long time, because this company could use the accumulated losses of the past.

Risiken und Chancen bei Chapter 11 When a corporation is on the verge of bankruptcy, its stock value will reflect the risk that a Chapter 11 may become a Chapter 7. For example, a company traded at $50 may trade at $2 per share due to bankruptcy speculation. If Chapter 11 is actually filed, the stock price may fall to 10 cents. This value is composed of the potential income that shareholders may receive after liquidation and a premium based on the possibility that the firm may restructure and begin to operate successfully in the future. Private investors can buy and sell these 10-cent shares in the OTC market.

Lange schweigen kann CFO Cragun nicht mehr FO Cragun ignore, that the Bankruptcy Code, Bankruptcy Rules, and case law require transparency from the debtor and other parties in interest

"The Bankruptcy Code, Bankruptcy Rules, and case law require transparency from the debtor and other parties in interest. As such, strict compliance with reporting requirements is a primary responsibility of a debtor in possession (“DIP”).

During the Case
Ongoing disclosures after the Petition Date are necessary to enhance transparency of the DIP’s actions and reorganization progress. A DIP that continues to operate during the case must file periodic reports and summaries of its business operations, including statements of receipts and disbursements, balance sheets, cash-flow statements, plus schedules of accounts receivable, tangible assets (like inventory), and post-petition debts.[viii] Additionally, the DIP must report information related to any employee tax withholdings (i.e., the source of the tax withholding [city, state, federal], the withheld amount, and the location of those funds).[ix]
The Office of the United States Trustee requires the DIP to file operating reports on a monthly basis through the effective date of a confirmed plan of reorganization or liquidation, or until conversion or dismissal of the bankruptcy case. Additionally, the DIP must file, on or before the last day of the month after each calendar quarter, a report calculating the statutorily-required fee to be paid to the United States Trustee."

As the web information exponentially grows and the needs of users become more specific, traditional general web search engines are not able to perfectly satisfy the nowadays user requirement. Vertical search engines have emerged in various domains, which more focus on specific segments of online content, including local, shopping, medical information, travel search, etc. For instance, a user may want to find a restaurant near his/her current location, search professionals on LinkedIn, and look for products on EBay. Recent studies show that Web queries have various vertical intents (e.g., 20% of them are local intent), and even more in mobile queries. As a response, vertical search engines start attracting more attention while relevance ranking in different vertical search engines is becoming the key technology. In addition, vertical search results are often slotted into general Web search results. Hence, designing effective ranking functions for vertical search has become practically important to improve users' experience in both web search and vertical search.

pay-per-call demand is poised to increase According to BIA/Kelsey, $64.6 billion is spent annually across various types of media on local ads — from merchants as well as ad agencies, networks and major retailers — to generate calls to businesses.2 Considering that worldwide mobile phone penetration is projected to reach 70% in 2014, with nearly two-fifths (1.75 billion) owning a smartphone, and with the proliferation of mobile phone use for searches, pay-per-call demand is poised to increase. Additionally, call volume to businesses through mobile search is projected to explode — from about 30 billion calls per year in 2013 to 73 billion by 2018

What is the SEC's Role in Chapter 11 Bankruptcy?
In Chapter 11 filings, the SEC reviews the disclosure document to make sure the company is properly disclosing key facts and to make sure stockholders are properly represented by a committee, if necessary. But other than that, the SEC's role is limited. However, the SEC may take legal action if it believes the company's executives and directors are involved in securities fraud, using bankruptcy law to hide from lawsuits, or otherwise affecting the rights of investors.

Aus #8919 The AMR Corporation, parent company of American Airlines, filed for Chapter 11 on November 29th, 2011 in the U.S. Bankruptcy Court for the Southern District of New York. While the actual day of the filing surprised the financial markets, the bankruptcy itself was an expected event given the turmoil the airline industry had endured.

On December 9th, 2013, AMR Corp exited bankruptcy by merging with US Airways and became American Airlines Group Inc. The time in bankruptcy totaled two years and ten days which is above the average duration for a company in bankruptcy, and it was arguably the most dramatic bankruptcy in 2013. By the time AMR Corp filed a plan of reorganization in April 2013, the company, along with its creditors and labor unions, had agreed to a merger with US Airways. Despite AMR originally wanting to exit bankruptcy without a merger, the merger was estimated to create synergies of around $7 billion, a number that couldn’t be ignored by AMR’s management.

Ähnliches und ein wenig mehr erhoffe ich mir "Despite all of the dramatic events in the courtroom, if an investor purchased debt or equity at the time of the filing, he would have grown his investment by a factor of 2.5x to 7x by the date of the merger, depending on the security and price paid. While some unsecured creditors were impaired, most were made whole by receiving equity in the new company. Interestingly, the original shareholders made money as well. Clearly a violation of absolute priority occurred and our analysis shows that labor bore most of the concessions."

Das sieht bei Local Corp sehr viel besser aus denn be Local Corp waren die Assets zum Zeitpunkt des Filings wesentlich höher als die Schulden.

Capital structure at filing and claims
At the time of the filing AMR Corp had $29.5B liabilities compared to only $24.7B Assets, a shortfall of $4.8B.

The template for Local Corp Enter Google with "cmaextras/Carl-Marks-Competition-American-Airlines"

This situation is by Local Corp a lot better, because the assets was a lot higher, when Local Corp filed Chapter 11.

Capital structure at filing and Claims by AMR
At the time of the filing AMR Corp had $29.5B liabilities compared to only $24.7B Assets, a shortfall of $4.8B.

The assets of Local Corp was at 03/31/2015 with 37 million about 12 million bigger than the debts of about 25 million - a rare rituation by a filing of Chapter 11. General Motors had for example the 3-fold of debts than assets, as they filed Chapter 11.

But now the biggest surprise for you: The value of the high valuable 14 patents of Local Corp is not part of this 37 million, because they were near all developed with the noney of the existing shareholders of Local Corp . By such self-developed patents can the company decide, if this patents were counted as assets or not - and Local Corp don't count the self developed patents with high value as assets. Local Corp had never done a capitalization of development costs for the14 valuable patents.

If Local Corp had done such a capitalisation, the difference between assets and debts would be a lot higher than the amount of 12 million from the first lines.

Hidden reserves: If the patents were capitaliized, toom the differend between assets and debts would be between 50 and 100 million.

Eine so günstige Realtion zwischen Assets und Schulden ist mir von keinem Chapter 11 einer börsennotierten Unternehmung bekannt.
